Terms of Service
Service Expectations & Policies
These terms describe how we engage with clients, process payments—including required deposits—and protect both parties throughout the project lifecycle.
Engagement Scope
- Each project begins with a mutually approved proposal that outlines deliverables, milestones, pricing, and change-control procedures.
- Requests that fall outside of the documented scope will be quoted separately and require written approval before work begins.
Deposits & Payments
- Projects may be subject to an agreed deposit—in most cases 30%–50% of the total—before production work or environment provisioning starts.
- Remaining invoices are billed upon milestone acceptance or monthly for ongoing retainers. Payment is due within 15 days via Stripe, PayPal, or ACH transfer.
- Late payments may pause project activity until balances are resolved. Hosting or maintenance services can be suspended after 15 days past due.
Client Responsibilities
- Provide timely access to required accounts, assets, and subject-matter experts so we can meet agreed timelines.
- Review deliverables within five business days. Feedback that exceeds this window may shift the schedule.
- Ensure all supplied content, trademarks, and data comply with applicable laws and you have rights to use them.
Intellectual Property
- Upon full payment, you receive ownership of custom code, designs, and assets created specifically for your project.
- Tru Group LLC retains the right to reference completed work for portfolio or marketing purposes unless the agreement specifies otherwise.
Hosting & Managed Services
- Managed hosting engagements include uptime monitoring, security patching, and incident response during the contracted term.
- You are responsible for third-party platform fees (e.g., AWS, Vercel, Netlify, Supabase). We will notify you before making material cost changes.
Warranties & Liability
- We warrant that deliverables will materially function as described in the approved scope for 30 days after launch. Bug fixes during this window are prioritized at no additional cost.
- Except for gross negligence, Tru Group LLC’s aggregate liability is limited to the amount you paid for the specific services that gave rise to the claim.
Termination
- Either party may terminate with 14 days written notice. You will be responsible for work performed and expenses incurred through the termination effective date.
- If payment obligations are not met, Tru Group LLC may terminate immediately and suspend access to environments under our control.
Acceptable Use & Compliance
- Services may not be used for unlawful activities, spam, or content that violates intellectual property rights or privacy laws.
- We comply with applicable regulations, including privacy and data protection requirements, and expect the same cooperation from clients.
